1. Acceptance of Terms & Eligibility

These Terms of Service (“Terms”) constitute a legally binding agreement between Rank My Garage (“Agency,” “we,” “us,” or “our”) and the independent automotive repair facility, auto shop owner, or authorized commercial entity (“Client” or “you”).

By accessing our website (rankmygarage.com), requesting a Growth Audit, or executing a service agreement with Rank My Garage, you agree to be bound by these Terms.

Eligibility: Our services are reserved exclusively for independent automotive repair shops, transmission specialists, brake centers, European/exotic garages, and tire facilities. We strictly exclude franchise auto dealership service departments.

2. Scope of Automotive Marketing Services

Rank My Garage provides specialized digital marketing, software integration, and customer acquisition services, including:

• Automotive Search Engine Optimization (SEO): High-margin service silos, technical vehicle schema markup, and content strategy.
• Google Maps 3-Pack & Local SEO: Google Business Profile management, citation cleanup, and review velocity workflows.
• Custom Shop Web Development: High-speed mobile websites, booking forms, and click-to-call mechanics.
• PPC & Meta Paid Advertising: Emergency search ads, negative keyword management, and seasonal retargeting.
• Social Media Marketing: Video reels, technician highlights, and local community authority.
• 24/7 AI Voice & Dispatch Systems: Telephone triage, appointment intake, and calendar synchronization.

3. 100% Client Asset Ownership Guarantee

We adhere to a strict anti-hostage philosophy. Unlike agencies that register client assets in proprietary developer accounts:

• Primary Ownership: The Client maintains direct, primary legal ownership of their domain name, Google Business Profile, Google Ads account, Meta Business Manager, and customer database.
• Agency Access: Rank My Garage operates strictly as an authorized administrative manager.
• Separation Portability: In the event of service conclusion, all websites, content, ad account histories, and customer databases remain the sole property of the Client with zero ransom fees.

4. Territory Exclusivity & Non-Compete Buffer

To prevent conflicts of interest, Rank My Garage guarantees geographic territory protection for active partner shops in good standing. We only partner with one primary general repair facility per defined municipal corridor in Palm Beach County. We will not accept a direct competing shop within your primary geographic driving radius during the active term of your agreement.

5. 24/7 AI Call Agent Disclaimers & Limitations

Our conversational AI telephone dispatch software is designed to triage customer vehicle issues, gather Year/Make/Model details, answer general shop questions (hours, address, towing policies), and schedule bay inspection slots.

Important Operational Notice: The AI dispatch system does not provide mechanical safety certifications, definitive vehicle warranties, or substitute for hands-on technician diagnostic inspections. All repair quotes and diagnostic evaluations must be confirmed in person by your ASE-certified technicians or service writers.

6. Fees, Ad Spend & Transparent Billing

• Management Retainers: Agency management fees are billed on a recurring 30-day billing cycle in advance.
• Direct Ad Spend Billing: Advertising budgets (Google Ads, Meta Ads) are billed directly to the Client’s credit card by Google or Meta. We never mark up or obscure media costs.
• No Long-Term Traps: Agreements are structured on standard monthly or quarterly terms with written 30-day notice requirements.

7. Third-Party Search Engine Policies

Search engine algorithms (Google Core Updates, Google Business Profile guideline updates) and advertising platform review policies are controlled exclusively by third-party corporations. While Rank My Garage enforces rigorous white-hat SEO and automotive best practices, no agency can ethically guarantee permanent top-1 placement or specific Google algorithm behavior.

8. Limitation of Liability

To the maximum extent permitted under applicable Florida law, in no event shall Rank My Garage, its directors, employees, or contractors be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, towing delays, or shop downtime, arising from the use of our digital marketing services, website hosting, or AI telephony. Our total cumulative liability under any claim shall not exceed the total management retainer paid by Client to Agency during the one (1) month immediately preceding the event giving rise to liability.

9. Governing Law & Dispute Resolution

These Terms and any dispute arising out of or related to our agency services shall be governed by and construed in accordance with the laws of the State of Florida, without regard to conflict of law principles. Exclusive venue and jurisdiction for any legal action shall lie exclusively in the state or federal courts located in Palm Beach County, Florida.
